Please read these Terms carefully before using the LeadCRM Service. By using the Service, you agree to be bound by these Terms.
1. Acceptance of terms
By accessing or using LeadCRM ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms constitute a legally binding agreement between you and LeadCRM Inc. ("Company"). If you are using the Service on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.
2. Description of service
LeadCRM provides a cloud-based customer relationship management (CRM) platform designed for sales teams. The Service includes:
• Lead management and tracking
• Pipeline visualisation and management
• Task and follow-up scheduling
• Team collaboration tools
• Analytics and reporting
• File storage and management
We reserve the right to modify, suspend, or discontinue the Service at any time with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation.
3. User accounts
To access the Service, you must create an account. You agree to:
• Provide accurate, current, and complete information.
• Maintain the security of your password and account.
• Notify us immediately of any unauthorised use of your account.
• Be responsible for all activities that occur under your account.
You must be at least 16 years old to use the Service. By creating an account, you represent that you meet this requirement.
We reserve the right to terminate accounts that violate these Terms, are found to be fraudulent, or have been inactive for more than 12 months.
4. Acceptable use
You agree not to use the Service to:
• Violate any applicable law or regulation.
• Infringe on the intellectual property rights of others.
• Upload or transmit malicious code, viruses, or any software intended to cause harm.
• Collect or harvest personal information of other users without consent.
• Send unsolicited communications (spam).
• Attempt to gain unauthorised access to any part of the Service.
• Interfere with or disrupt the Service or servers connected to it.
• Impersonate any person or entity.
• Use the Service for any competitive benchmarking or intelligence gathering.
Violation of this policy may result in immediate termination of your account and may be reported to relevant authorities.
5. Payment terms
Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in these Terms.
**Trials**: new accounts include a 14-day free trial. No credit card is required during the trial. After the trial, you must subscribe to continue using the Service.
**Upgrades/downgrades**: you may change your plan at any time. Upgrades take effect immediately; downgrades take effect at the start of the next billing period.
**Failed payments**: if payment fails, we will attempt to charge your payment method for up to 7 days. If payment is not received, your account may be suspended.
**Taxes**: prices exclude applicable taxes. You are responsible for paying all applicable taxes.
6. Data ownership
You retain full ownership of all data, content, and information you submit to the Service ("Customer Data"). We do not claim any ownership rights over your Customer Data.
You grant us a limited, non-exclusive licence to use your Customer Data solely to provide the Service to you. We will not use your Customer Data for any other purpose without your explicit consent.
You are solely responsible for ensuring you have the right to upload any data you add to the Service, and that such data does not violate any applicable law or third-party rights.
7. Intellectual property
The Service and its original content, features, and functionality are owned by LeadCRM Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You may not copy, modify, distribute, sell, or lease any part of the Service or its content, nor may you reverse engineer or attempt to extract the source code of the Service, unless applicable law prohibits these restrictions or you have our written permission.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LEADCRM, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
• Your access to or use of (or inability to access or use) the Service.
• Any conduct or content of any third party on the Service.
• Any content obtained from the Service.
• Unauthorised access, use, or alteration of your transmissions or content.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
9. Termination
You may cancel your account at any time from your account settings. Cancellation takes effect at the end of your current billing period.
We may terminate or suspend your account immediately, without prior notice, if:
• You violate these Terms.
• We are required to do so by law.
• We reasonably believe your account is being used fraudulently.
Upon termination, your right to use the Service will immediately cease. Within 30 days of termination, you may request an export of your data. After 30 days, your data may be permanently deleted.
10. Changes to terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
• Sending an email to the address associated with your account.
• Displaying a notice within the Service.
Changes will take effect 14 days after notification. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.
